It's Ultra Magnus from the Dreamwave comics...he shattered his shell and him and Optimus took on a wave of Decepticons together.

Well his inner shell in the Dreamwave productions was similar to Optimus Prime. Hence, the two primes. I don't think in acutal canon was he ever declared a Prime, but his inner shell leads me to believe otherwise.
