Great piece, for openers!!! As for the proportion thing, I think it's the way Spidey is holding his head in this non-artist's humble opinion.
I've always felt that Spidey was the "anti-Batman" in the fact that he doesn't take himself seriously. He doesn't carry around the same baggage that Bruce seems to be hauling around. In another piece I just saw, Spidey is having a little fun with Bats' utility belt, and I'm glad to see it does more than just hold up Bats' pants, if you get my drift.
This is the Darkness that is Batman and the Light that is Spidey.

Very nice drawing over all-however I did notice some things that could use a little work. Batman is too close to Spiderman. Spidey's right leg should be in front of the cape-not behind. Also Spiderman's head is a bit big.I would probably shrink it a bit. Other than that it is a great drawing!
